Terms of Service
These Terms of Service govern your access to and use of the website, platform, diagnostics, reports, content, tools, and related services made available by China Marketing AI.
By accessing or using www.chinamarketing.ai or any related services, you agree to be bound by these Terms.
If you are using the services on behalf of a company, organization, or other entity, you represent and warrant that you are authorized to bind that entity to these Terms, and you will refer to both you and that entity.

2. Scope of These Terms
If you enter into a separate order form, statement of work, services agreement, subscription agreement, or other signed commercial agreement with us, that agreement will control over these Terms to the extent of any conflict.
These Terms apply to your access to and use of:
- the www.chinamarketing.ai website
- any accounts, dashboards, tools, or platform features we provide
- any diagnostics, reports, analyses, summaries, or deliverables generated or provided through the services
- any free, trial, beta, pilot, preview, paid, or custom services we offer, unless separate written terms apply
3. Eligibility and Acceptable Use
You may use the services only in compliance with applicable law and these Terms.
You agree not to:
- use the services for unlawful, fraudulent, deceptive, or harmful purposes
- submit content that you do not have the right to use, disclose, or process
- infringe or misappropriate the intellectual property, privacy, confidentiality, or other rights of any person
- interfere with or disrupt the operation, integrity, or security of the services
- attempt to gain unauthorized access to accounts, systems, or data
- probe, scan, or test the vulnerability of the services except as expressly authorized by us
- reverse engineer, decompile, disassemble, copy, or create derivative works from the platform or underlying software, except as permitted by applicable law
- use bots, scraping, automated extraction, or excessive automated access in a manner that burdens or harms the services
- use the services to develop, train, benchmark, or improve a competing product or service without our prior written consent
- resell, sublicense, distribute, or commercially exploit the services except as expressly permitted in writing
- use the services in violation of applicable export control, sanctions, or trade compliance laws
4. Accounts
You may need to create an account to use certain services.
You agree to:
- provide accurate, current, and complete information
- maintain and promptly update your account information
- keep your login credentials confidential
- notify us promptly of any unauthorized use of your account or any security incident relating to the services
You are responsible for all activities occurring under your account unless caused by our breach of these Terms or applicable law.
5. Submitted Content
You may submit prompts, text, files, URLs, documents, data, form responses, feedback, and other materials through the services.
You retain ownership of your Submitted Content, subject to the rights you grant to us in these Terms.
You represent and warrant that:
- you own or control all necessary rights, permissions, consents, and lawful bases required to submit and authorize our processing of the Submitted Content
- your Submitted Content and our permitted use of it will not violate applicable law or infringe any third-party rights
- your Submitted Content does not contain malicious code, hidden payloads, or anything intended to disrupt or compromise the services
6. License to Use Submitted Content
You grant us a non-exclusive, worldwide, royalty-free, limited license to host, store, reproduce, transmit, process, adapt, format, and otherwise use Submitted Content solely as necessary to:
- provide, operate, maintain, and improve the services
- generate requested outputs and deliverables
- secure the services and prevent abuse
- troubleshoot, support, and monitor performance
- enforce these Terms
- comply with legal obligations
7. Outputs and Deliverables
The services may generate reports, diagnostics, recommendations, summaries, analyses, or other outputs, including outputs that are assisted or generated in whole or in part by artificial intelligence.
You are responsible for reviewing and validating Outputs before relying on them.
Unless otherwise agreed in writing:
- Outputs are provided for your internal business use
- Outputs may be shared internally within your organization and with your professional advisors, contractors, and service providers for your internal business purposes
- you may not resell, sublicense, publicly distribute, publish as a standalone product, or otherwise commercially exploit Outputs in a manner that competes with or substitutes for our services
Subject to your payment of applicable fees, we grant you a non-exclusive, non-transferable, revocable license to use Outputs for your internal business purposes.
8. AI Output Disclaimer
You acknowledge and agree that:
- Outputs may include AI-assisted or AI-generated content
- Outputs may be incomplete, inaccurate, outdated, biased, or unsuitable for a particular purpose
- similar or identical outputs may be generated for other users
- Outputs are provided for informational and strategic support purposes only and do not constitute legal, financial, investment, tax, regulatory, or other professional advice
You are solely responsible for human review, validation, interpretation, and decision-making based on any Output.
9. Intellectual Property
We and our licensors retain all rights, title, and interest in and to the services.
Except for the limited rights expressly granted in these Terms, no rights are granted to you.
Nothing in these Terms transfers to you any ownership in our background intellectual property, platform, software, methods, templates, or know-how.
This includes:
- the website and platform
- software, code, models, workflows, and systems
- templates, prompts, methodologies, processes, and frameworks
- branding, trademarks, logos, and visual assets
- improvements, enhancements, and derivative works of the foregoing
10. Feedback
If you provide suggestions, ideas, feedback, or recommendations relating to the services, you grant us a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, modify, and incorporate that Feedback without restriction or compensation to you.
11. Fees, Payments, and Refunds
Some services may be offered free of charge, while others require payment.
Promotional, beta, pilot, preview, free, or introductory offers may be modified, limited, or withdrawn at any time.
Unless otherwise stated in a separate written agreement:
- all fees are stated in the applicable order, proposal, pricing page, or service description
- fees are due in accordance with the payment terms we specify
- fees are non-cancellable and non-refundable
- fees are exclusive of taxes, duties, levies, or similar governmental assessments, which are your responsibility except for taxes based on our net income
- we may suspend access to paid services or withhold deliverables for non-payment, chargebacks, suspected fraud, or material breach of these Terms
12. Beta, Pilot, and Experimental Features
We may make beta, pilot, preview, experimental, or early access features available from time to time.
Such features are provided on an as-is and as-available basis, may contain errors or limitations, may be incomplete, and may be modified, suspended, or discontinued at any time without liability.
13. Third-Party Services
The services may integrate with or rely on third-party platforms, hosting providers, analytics tools, APIs, data providers, payment processors, or other third-party services.
We are not responsible for third-party services, including their availability, accuracy, security, content, or privacy practices.
Your use of third-party services may be subject to separate terms and conditions imposed by those third parties.
14. Confidentiality
If you disclose non-public business, technical, commercial, or operational information to us that is identified as confidential or that reasonably should be understood to be confidential, we will use reasonable care to protect it and will not disclose it to third parties except as allowed in these Terms.
We may disclose Confidential Information:
- to our personnel, affiliates, contractors, and service providers who need to know it for the purposes of providing the services and who are bound by confidentiality obligations
- as required by law, regulation, court order, or governmental request
- with your consent
15. Exceptions to Confidentiality
Confidentiality obligations do not apply to information that:
- is or becomes public through no fault of ours
- was lawfully known to us without restriction before disclosure
- is lawfully received from a third party without breach of obligation
- is independently developed without use of your Confidential Information
16. Privacy
Our collection and use of personal data is described in our Privacy Policy. By using the services, you acknowledge that we may collect, use, and disclose personal data as described there.
17. Suspension and Termination
We may suspend or terminate your access to the services, in whole or in part, immediately or at any time if:
- you violate these Terms
- you fail to pay applicable fees
- your use creates a security risk or operational burden
- we suspect fraud, abuse, unlawful conduct, or unauthorized access
- we are required to do so by law or a third-party provider
- we discontinue the relevant service
You may stop using the services at any time.
18. Effect of Suspension or Termination
Upon suspension or termination:
- your right to access and use the affected services will cease
- we may delete or disable access to your account, Submitted Content, or Outputs in accordance with our retention practices and legal obligations
- provisions that by their nature should survive will remain in effect
19. Disclaimers
To the maximum extent permitted by law, the services are provided as is and as available without warranties of any kind, whether express, implied, statutory, or otherwise.
We disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, reliability, and quiet enjoyment.
We do not warrant that:
- the services will be uninterrupted, error-free, or secure
- the services or Outputs will be accurate, complete, or fit for your intended use
- defects will be corrected
- the services will be compatible with all systems, tools, or workflows
20. Limitation of Liability
To the maximum extent permitted by law, China Marketing AI and its affiliates, directors, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenues, business, goodwill, data, or opportunity, arising out of or related to the services or these Terms.
To the maximum extent permitted by law, our aggregate liability arising out of or relating to the services or these Terms will not exceed the total amount paid by you to us for the specific services giving rise to the claim during the twelve months preceding the event giving rise to liability, or SGD 100, whichever is greater.
Nothing in these Terms excludes liability that cannot be excluded under applicable law.
21. Indemnity
You agree to indemnify, defend, and hold harmless China Marketing AI and its affiliates, directors, officers, employees, contractors, licensors, and service providers from and against any claims, losses, liabilities, damages, judgments, costs, and expenses, including reasonable legal fees, arising out of or related to:
- your Submitted Content
- your use of the services
- your breach of these Terms
- your violation of applicable law
- your infringement or misappropriation of any third-party rights
22. Force Majeure
We will not be liable for any delay, interruption, or failure to perform resulting from causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, civil unrest, labor disputes, internet or telecommunications failures, hosting outages, cyber incidents, governmental actions, epidemics, pandemics, or failures of third-party providers.
23. Changes to the Services or Terms
We may modify, suspend, or discontinue any part of the services at any time.
We may also update these Terms from time to time. When we do, we will post the updated version and revise the Last updated date above. Your continued use of the services after the updated Terms become effective constitutes your acceptance of the revised Terms.
24. Governing Law and Dispute Resolution
These Terms are governed by the laws of Singapore, without regard to conflict of laws principles.
The courts of Singapore will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms or the services, unless otherwise agreed in a separate written contract.
